Sponsor Terms & Conditions

Full payment is due at the time of purchase unless otherwise agreed to in writing by Producer. Sponsor benefits, including logo placement, printed materials, and program listings, are contingent on Sponsor providing all required materials by the deadlines communicated by Producer. Producer is not responsible for omitted or delayed benefits resulting from Sponsor's failure to provide materials on time.

Sponsor agrees to provide all materials reasonably needed for Producer to fulfill the Sponsorship, including but not limited to logos, links, ads, and other assets as requested. Sponsor grants Producer a limited, non-exclusive, royalty-free license to reproduce and display Sponsor's name, logo, and provided materials solely in connection with promoting and producing the Conference and related The She Said Project and The She Said Foundation materials (including print, digital, and social media). This license ends when the sponsorship term ends, except for materials already distributed or archived (e.g., printed programs, past social posts, or

recap content).

Producer retains full and exclusive control over the Conference, including but not limited to the selection of speakers, presenters, and content; ticketing and pricing; and the selection of sponsors. Sponsor shall not market or promote from the stage and shall have no control or approval rights over these matters. Sponsor understands that Producer's operations are governed by the policies of The She Said Project and The She Said Foundation.

The Conference is a welcoming space for all women and their supporters. Sponsor agrees that its conduct, branding, and messaging in connection with the Conference will not contradict the inclusive mission of The She Said Project and The She Said Foundation. Producer reserves the right to decline or remove sponsors whose conduct, branding, or messaging conflicts with this mission.

The Conference may be photographed, recorded, or live-streamed. Sponsor grants Producer permission to use Sponsor's name, logo, and representatives' likeness captured during the Conference (e.g., booth photos, sponsor recognition moments) in future promotional materials for The She Said Project and The She Said Foundation, without additional compensation.

If Sponsor's package includes an on-site booth, table, or activation, Sponsor is responsible for its own equipment, staffing, and conduct at the Conference, and agrees to comply with all venue policies communicated by Producer & Venue. Sponsor is encouraged to carry its own general liability insurance for on-site activities.

To the fullest extent permitted by law, Producer's total liability to Sponsor for any claim arising out of this Agreement is limited to the amount Sponsor paid for its sponsorship package. Producer is not liable for indirect, incidental, or consequential damages, including lost business opportunity, arising from Sponsor's participation in the Conference.

Sponsor agrees to indemnify and hold harmless Producer, The She Said Foundation, and their respective staff and volunteers from any third-party claims, damages, or expenses arising from Sponsor's materials, on-site conduct, or breach of this Agreement.

Sponsorship payments are non-refundable. If the Conference must be postponed or cancelled due to circumstances beyond Producer's control, The She Said Foundation will work with Sponsor in good faith to apply the contribution toward a future, mutually agreed-upon event.

Producer is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, extreme weather, public health emergencies, venue unavailability, or government order.

The She Said Foundation is a 501(c)(3) nonprofit organization. Your sponsorship contribution may be tax-deductible to the extent permitted by law. A written acknowledgment will be provided for your contribution of $250 or more, as required by IRS regulations. This notice does not constitute legal or tax advice. Consult a qualified tax advisor regarding your specific situation.

This Agreement represents the entire understanding between Sponsor and Producer regarding the Conference sponsorship and supersedes any prior discussions or agreements on the subject. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect. This Agreement is governed by the laws of the State of Illinois. Producer may update these Terms & Conditions for future events; changes will not apply retroactively to Sponsors who have already purchased a package for this Conference.
